1. Introduction

Galangxy Inc. (referred to as "Galangxy", "we", "us", or "our") operates the platform at https://galangxy.com and delivers AI-enhanced language learning solutions (the "Services", "Platform", or "Website"). These Terms of Service establish the legal framework governing your access to and use of our Services across any device. These Terms of Service form a legally binding contract between you and Galangxy. By creating an account, you affirm that you have thoroughly reviewed, comprehend, and consent to be governed by these Terms of Service, our Privacy Policy, and our Cookie Policy. We reserve the right to revise these Terms at our discretion, with changes becoming effective immediately upon publication. Your continued use of Galangxy constitutes acceptance of the revised Terms.

Through Galangxy, you gain access to:

• AI-powered language instruction via voice and video interaction
• Real-time conversations with multilingual AI Tutors
• Personalized learning experiences tailored to your proficiency level
• Pronunciation analysis and language coaching
• Progress monitoring and learning analytics
• Multiple learning modalities and difficulty settings

Using our Services requires internet connectivity, microphone, speakers/headphones. You are solely responsible for these costs. Only one Learning Session can be started at a time per Account (concurrency limit). Please note that not all learning modes support all available languages. Language availability varies by learning mode, and certain modes may be limited to specific languages based on AI capabilities and pedagogical effectiveness. Not all languages are supported as the teaching language; some languages may only be taught using English as the medium of instruction. Please visit the Languages page for more details.

4. Eligibility Requirements

You are authorized to create an Account only when all conditions are satisfied:

• You are at least 13 years of age
• You possess legal capacity to form a binding agreement
• You are not prohibited from using the Services under applicable laws
• You acknowledge use is at your sole discretion and risk
• You commit to full compliance with all applicable laws and regulations

5. License Grant and Restrictions

We grant you a non-exclusive, non-transferable, non-sublicensable, fully revocable, limited license to access and use the Services.

You may NOT:

• Use Services on devices you don't lawfully control
• Rent, lease, sell, redistribute, or sublicense access
• Reverse engineer, decompile, or disassemble any components
• Remove or alter copyright notices, trademarks, or proprietary marks
• Develop competing products or services
• Extract data through automated means (scraping, crawling)
• Circumvent security features or access controls

6. Intellectual Property Rights

All intellectual property in Galangxy—including AI Tutor algorithms, pedagogical methodologies, software code, designs, graphics, user interfaces, audio-visual content, trademarks, and trade secrets—is owned by or licensed to Galangxy. The Galangxy name, logo, and related product names are trademarks of Galangxy. You may not use such marks without our prior written permission.

6A. Mobile Applications and App Store Terms

General Mobile App License

If you access the Services through a mobile application downloaded from the Apple App Store, Google Play Store, or any other app distribution platform ("App Store"), the following additional terms apply:

• You are granted a non-transferable, non-exclusive license to install and use the mobile application on devices you own or control
• You may not copy (except for backup purposes), modify, distribute, sell, or lease any part of the application
• You may not reverse engineer or attempt to extract source code unless required by law
• Your use must comply with all applicable App Store terms and usage rules

Apple App Store Terms

If you download our mobile application from the Apple App Store, you acknowledge and agree that:

• Agreement: These Terms are between you and Galangxy only, not with Apple Inc. ("Apple"). Galangxy, not Apple, is solely responsible for the application and its content.
• License Scope: Your license to use the application is limited to a non-transferable license to use it on Apple-branded devices you own or control, as permitted by Apple's App Store Terms of Service.
• Maintenance and Support: Galangxy is solely responsible for providing maintenance and support services. Apple has no obligation to furnish any maintenance or support.
• Warranty: Galangxy is solely responsible for any product warranties. In the event of failure to conform to any warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation.
• Product Claims: Galangxy, not Apple, is responsible for addressing any claims relating to the application or your use of it, including: (i) product liability claims; (ii) any claim that the application fails to conform to legal or regulatory requirements; and (iii) claims arising under consumer protection laws.
• Intellectual Property: In the event of any third-party claim that the application infringes intellectual property rights, Galangxy, not Apple, is solely responsible for investigation, defense, settlement, and discharge of such claims.
• Third-Party Terms: You must comply with applicable third-party terms when using the application (e.g., wireless data service agreement).
• Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the application. Upon your acceptance of these Terms, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Google Play Store Terms

If you download our mobile application from Google Play Store, you acknowledge and agree that:

• These Terms are between you and Galangxy only, not with Google LLC ("Google")
• Your use of the application must comply with Google Play's Terms of Service
• Google is not responsible for the application, its content, or any claims relating to it
• Galangxy, not Google, is solely responsible for maintenance, support, and warranty for the application
• Google has no warranty obligations with respect to the application

In-App Purchases and Subscriptions

If you purchase a subscription through an App Store:

• Payment will be charged to your App Store account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage subscriptions and turn off auto-renewal in your App Store account settings
• Cancellation of the current active subscription period is not allowed
• Any unused portion of a free trial period will be forfeited when you purchase a subscription
• Refunds are handled according to the App Store's refund policies - contact Apple or Google directly for refund requests on App Store purchases

Note: Galangxy cannot issue refunds for purchases made through App Stores. All billing inquiries and refund requests for App Store purchases must be directed to Apple or Google respectively.

7. Account Creation and Security

Registration Requirements

To access Services, you must provide:

• Valid, accessible email address
• Complete legal name
• Language learning preferences and goals

Security Obligations

You agree to:

• Maintain confidentiality of Account credentials
• Notify us immediately of unauthorized access
• Provide only truthful, accurate information
• Not create multiple Accounts or share your Account
• Not use automated systems (bots, scripts) to access Services

8. User Conduct and Acceptable Use

You represent and warrant that you will:

• Treat AI Tutors and learning environment with respect
• Refrain from sharing sensitive or confidential information during sessions
• Abstain from inappropriate, offensive, abusive, or toxic language
• Not engage in harassment, threats, or hate speech
• Not attempt to manipulate or abuse AI Tutors
• Not use Services to violate any laws or regulations

Enforcement: We reserve the right to monitor sessions, suspend or terminate accounts for violations, and report illegal activity to authorities.

9. Voice, Video, and Data Recording

Learning Sessions may record your voice and video for:

• Providing real-time instruction and personalized feedback
• Analyzing pronunciation and language proficiency
• Enhancing AI Tutor algorithms and teaching methodologies
• Quality assurance and customer support
• Platform security and preventing misuse

By using the Services, you provide explicit consent to recording and processing. We handle recordings per our Privacy Policy and applicable data protection laws (GDPR, CCPA).

10. AI Tutor Limitations and Disclaimers

Educational Purpose Only

AI Tutors are designed exclusively for language learning. They do not provide professional advice and should not be relied upon for translation services, legal interpretations, medical terminology, or other professional purposes.

Content Restrictions and AI Unpredictability

We instruct our AI Tutors to avoid discussing:

• Adult content or sexually explicit topics (18+ content)
• Political discussions or opinions
• Medical advice or health-related guidance

HOWEVER: AI systems are inherently unpredictable and may occasionally generate responses that violate these restrictions. We cannot guarantee that the AI Tutor will always comply with these content restrictions. If the AI Tutor produces inappropriate content, please report it immediately and discontinue the session.

Accuracy Limitations

AI Tutors may occasionally:

• Provide incorrect linguistic information or grammar guidance
• Produce imperfect pronunciation recommendations
• Generate responses with factual errors or cultural inaccuracies
• Misinterpret your speech or intent
• Produce unexpected, inappropriate, or nonsensical responses

No Learning Guarantees

We make no warranty that use will result in language proficiency, certification eligibility, or specific learning outcomes. Results depend on individual effort, dedication, and aptitude.

Service Availability and Maintenance

Our AI-powered Services may occasionally be unavailable or experience interruptions due to:

• Scheduled maintenance and system upgrades
• AI model improvements and performance enhancements
• Technical issues, server failures, or infrastructure problems
• Third-party service provider outages (AI APIs, cloud hosting, etc.)
• Unexpected technical difficulties or bugs

We strive to restore Services as quickly as possible and minimize disruptions. However, we cannot guarantee continuous, uninterrupted access. Scheduled maintenance will be performed during off-peak hours when feasible, but we reserve the right to perform emergency maintenance at any time without prior notice. No refunds or credits will be provided for temporary service interruptions.

AI Service Provider Rate Limits

Service disruptions may occur if rate limits imposed by our AI service providers are reached. While Galangxy strives to ensure adequate capacity and prevent rate limit issues, disruptions may occur due to unexpected spikes in usage volume or in the event of Galangxy experiencing viral growth. If rate limits are hit, the app or website may become temporarily unavailable or experience degraded performance. We will work with our vendors to resolve rate limit issues as quickly as possible and restore full service capacity. No refunds or credits will be provided for service disruptions caused by AI provider rate limits.

11. Cache and Pregenerated Content

Galangxy may pregenerate learning content such as sentences, exercises, and other educational materials to improve your learning experience and reduce loading times. This pregenerated content is stored locally on your device as cached data.

Clearing the cache through the Settings page will permanently delete all pregenerated sentences and cached learning content from your device. This action is irreversible and the pregenerated content will need to be regenerated, which will consume additional credits from your account.

Galangxy will not issue refunds or credit compensation if you clear the cache and pregenerated sentences are lost. By using the "Clear Cache" feature in the Settings page, you acknowledge that you understand and accept that pregenerated content will be permanently deleted and that regenerating this content will consume credits from your balance.

12. Subscription Plans and Pricing

Galangxy offers multiple Subscription Plans including:

• Free tier with limited features
• Monthly subscription plans with recurring billing
• Annual subscription plans with discounted rates
• Custom enterprise solutions

Plans may include unlimited or metered Learning Sessions, specialized AI Tutors, enhanced analytics, and priority support. Pricing is subject to change with reasonable advance notice.

13. Payment Terms and Billing

Subscription Fees are billed in advance on a recurring basis. By providing payment information, you authorize charges to your payment method.

• All payments processed in USD unless otherwise specified
• You are responsible for all taxes and fees
• Failed payments may result in suspension or termination
• Payments processed via Stripe (see their Terms and Privacy Policy)

14. Automatic Renewal and Cancellation

Subscriptions automatically renew unless cancelled before renewal date. Upon renewal, you'll be charged the then-current Subscription Fee.

To Cancel:

1. Go to Account Settings
2. Select "Manage Subscription"
3. Follow cancellation instructions

Cancellation takes effect at the end of the current billing period. No refunds for partial periods or unused time.

Credit Forfeiture Upon Cancellation

Any remaining credits associated with your membership will be forfeited when you cancel your membership and the cancellation date has passed the valid date of the cancelled membership. However, credits will not be forfeited as long as you continue to renew your membership before the last valid date of your current membership period. If you repurchase a membership before the cancelled membership's valid date expires, your remaining credits will be preserved and will not be forfeited.

15. Refund Policy

All subscription fees are strictly non-refundable. Once payment is processed, we do not provide refunds for any unused portion of your subscription period, early cancellation, dissatisfaction with the Services, or any other reason. Given the experimental nature of our AI-powered Services and the inability to "return" digital services that have been accessed, all sales are final. You are encouraged to use any free trial periods to evaluate the Services before committing to a paid subscription. Limited exceptions may be made at our sole discretion only in cases of:

• Billing errors or unauthorized duplicate charges verified by our payment processor
• Circumstances explicitly required by applicable consumer protection law

To request consideration for a refund in these exceptional circumstances only, contact support@galangxy.com with your Account email and detailed explanation. All refund requests are reviewed on a case-by-case basis, and approval is not guaranteed.

Language Support Discontinuation

In rare cases, Galangxy may discontinue support for a language if we determine that the underlying technology is not capable enough to effectively teach that language. We will provide reasonable notice before discontinuing any language, but no refunds will be issued for discontinued languages.

Insolvency or Bankruptcy

In the event of insolvency, bankruptcy, or closure of business of Galangxy Inc., any remaining credits, unused subscription time, or prepaid services will not be refunded. Credits and subscription benefits have no cash value and do not constitute a debt obligation of Galangxy. Users acknowledge that credits are a limited license to access digital services and are not redeemable for cash under any circumstances, including business dissolution. In the event of business closure, Galangxy will notify users by email to use their remaining credits before their membership expiry date. Memberships will not be renewed following the closure of business, and any unused credits at the end of the membership period will be permanently lost.

16. Free Trial Offers

We may offer complimentary trial access to paid plans. Upon expiration, your payment method will be automatically charged unless you cancel before trial ends.

• Limited to one free trial per User
• May require valid payment information
• We reserve the right to terminate trials for suspected abuse

15A. Promotion Codes and Discounts

Galangxy may offer promotional codes, discount codes, referral credits, or other special offers ("Promotion Codes") that can be redeemed for discounts, free trial extensions, or other benefits. By using or redeeming a Promotion Code, you accept and agree to all applicable terms.

Types of Promotion Codes

We may offer the following types of Promotion Codes:

• Discount Codes: Codes offering percentage or fixed-amount discounts on subscription purchases
• Extended Free Trial Codes: Codes providing longer free trial periods beyond the standard offering
• Prepaid Subscription Codes: Codes providing prepaid access to subscription services for a specified duration
• Referral Credits: Credits earned by referring new users to the platform
• Partner Codes: Codes provided through partnerships with educational institutions, employers, or other organizations

Code Providers and Partner Programs

You may receive Promotion Codes from authorized third parties such as your employer, educational institution, or business partner ("Code Provider"). If you receive a code from a Code Provider:

• Your Code Provider may set additional eligibility requirements or usage limitations
• Your Code Provider may terminate your access if your relationship with them ends (e.g., employment termination, graduation)
• You will retain control of your Galangxy account and data even if Code Provider access is terminated
• We may share anonymized, aggregated usage data or individual usage data with your Code Provider to verify program participation and measure effectiveness

Automatic Renewal for Extended Free Trial Codes

If you redeem an Extended Free Trial Code that requires payment information:

• You must select a subscription plan and provide valid payment details accepted by Galangxy
• Unless you cancel at least 24 hours before trial expiration, your subscription will automatically convert to a paid recurring subscription
• Your payment method will be charged at the rate you selected when redeeming the code
• If you cancel during the trial, you will lose access to subscription features when the trial ends

General Promotion Code Terms

• No Cash Value: Promotion Codes have no monetary value and cannot be redeemed for cash or refunded
• One-Time Use: Each Promotion Code may be redeemed only once per account unless explicitly stated otherwise
• Eligibility Restrictions: Certain codes may be limited to new users, specific geographic regions, or other eligibility criteria
• Expiration: Codes may be subject to expiration dates or limited-time availability
• Redemption Limits: Some codes may have overall redemption limits (first 1,000 users, etc.)
• Cannot Be Combined: Unless explicitly stated, Promotion Codes cannot be combined with other offers or discounts
• Modification/Termination: We reserve the right to modify, suspend, or terminate any Promotion Code at any time for any reason without prior notice
• Abuse Prevention: We may invalidate codes obtained through unauthorized channels, bulk purchasing, or fraudulent means

Prohibited Activities

The following activities are strictly prohibited:

• Reselling, transferring, or distributing Promotion Codes for commercial purposes
• Creating multiple accounts to redeem the same promotion multiple times
• Using automated systems to generate, discover, or redeem codes
• Sharing codes publicly unless explicitly authorized as a referral program
• Reverse engineering or tampering with code generation systems

Violations and Enforcement

If we determine that a Promotion Code has been redeemed or used in violation of these terms, we may:

• Invalidate the Promotion Code without notice or compensation
• Terminate services obtained through the code without refund or exchange
• Suspend or permanently ban accounts found to be abusing promotion systems
• Pursue legal action for fraud or terms violations

17. Privacy and Data Protection

Your use is governed by our Privacy Policy. By using Services, you consent to collection, processing, and use of your Personal Data as described. We collect personal information including your name, age, nationality, and other biographical details for the following purposes: teaching you how to introduce yourself in your target language, personalizing learning content to your background and interests, and conducting data analysis on our user base to improve Services. We may use aggregated, anonymized data derived from your information for research, analytics, and service improvement purposes. We implement industry-standard security measures but cannot guarantee absolute security. You have data subject rights including access, correction, deletion, and portability (detailed in Privacy Policy).

18. Third-Party Services and Links

Services may integrate with third-party platforms (social media, authentication providers, analytics). These services have their own Terms and Privacy Policies. Galangxy is not responsible for third-party content, practices, or availability. Your use of third-party services is at your own risk.

19. Feedback and Suggestions

By submitting feedback, suggestions, or ideas, you grant Galangxy a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate your feedback without attribution or compensation. You represent that your feedback doesn't violate third-party rights or applicable laws.

20. Account Termination and Deletion

Voluntary Termination

You may delete your Account anytime through Account Settings or by contacting support@galangxy.com.

Effects of Deletion:

• Immediate loss of access to all Services
• Subscription cancelled (no refund for unused time)
• Data deleted per Privacy Policy and retention schedule
• Some data retained for legal, accounting, or security purposes

Termination by Galangxy

We may suspend or terminate your Account if:

• You violate these Terms
• Payment fails repeatedly
• We suspect fraudulent or illegal activity
• Required by law or court order

21. Disclaimers and Warranties

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

To the maximum extent permitted by law, we disclaim all warranties including:

• Merchantability and fitness for particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted, timely, secure, or error-free service

Services are for educational purposes only and don't replace formal language education or professional instruction.

22. Limitation of Liability

Maximum Liability: Amount you paid in the 12 months preceding the claim.

We shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Service interruptions or data loss
• Cost of substitute services
• Unauthorized access to your Account

Any claim must be filed within 6 months of the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Galangxy from claims, damages, losses, and expenses (including attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you submit or share
• Unauthorized use of your Account

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice. Modifications may include adding/removing features, changing content, altering pricing, or updating infrastructure. We are not liable for any modifications or discontinuation.

26. Platform and Device Support

Galangxy may, at its sole discretion, discontinue support for certain operating systems, devices, or hardware platforms at any time. Reasons for discontinuation may include, but are not limited to: operating system security vulnerabilities, an operating system no longer being supported or maintained by the company that created it, hardware limitations that prevent the delivery of a satisfactory user experience, insufficient user base on a particular platform, or changes in third-party dependencies or technologies required by the Services. Galangxy is not obligated to provide advance notice of any such discontinuation or to continue supporting any particular operating system, device, or hardware configuration. Your continued access to the Services may require you to use a supported operating system and device.

You consent to receive communications electronically via email or Platform notifications. Electronic communications satisfy legal writing requirements. Notices to Galangxy must be sent to support@galangxy.com or our legal address. Notices effective when sent (email) or received (postal mail).

Acknowledgment

BY CREATING AN ACCOUNT OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
